Terms of Service

Last updated: 16 October 2026

1. Who we are

My AI Software is a trading name of Trance Holding Company Ltd, a company registered in England and Wales (company number 17251309), registered office Blackpool Enterprise Centre, 291–305 Lytham Road, Blackpool FY4 1EW. References to “we”, “us” and “our” mean Trance Holding Company Ltd. You can reach us through our contact form.

2. What these terms cover

These terms apply to your use of our website at myaisoftware.info and to the consultancy services we provide: AI strategy advice, build-versus-buy assessments, implementation work and team training (the “Services”).

Before any paid work starts we agree a written proposal or statement of work (a “Proposal”) that sets out the scope, deliverables, timetable and fees. Each Proposal, together with these terms, forms the contract for that engagement. If a Proposal conflicts with these terms, the Proposal applies for that engagement.

3. Who we work with

We provide the Services to businesses and other organisations, not to consumers. By agreeing a Proposal you confirm that you are acting for business purposes and that you have authority to bind your organisation. You must be 18 or over to use the website.

4. The free introductory call

Our 30-minute introductory call is free and carries no obligation on either side. Anything we say in it is general discussion to help you decide whether to work with us. It is not advice you should rely on until we have agreed a Proposal and done the work.

5. Fees and payment

  • Unless a Proposal says otherwise, engagements are fixed in scope and fixed in price.
  • Fees are shown excluding VAT, which is added where it applies.
  • We invoice as set out in the Proposal. Invoices are payable within 30 days of the invoice date unless the Proposal says otherwise.
  • If an invoice is paid late we may charge interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998, and we may pause work until it is paid.
  • Work outside the agreed scope is done only if we both agree it in writing first, including any change to the fees or timetable.
  • Expenses are charged only where the Proposal provides for them or you agree them in advance.

6. What we will do

We will carry out the Services with reasonable skill and care, using suitably experienced people, and in line with the Proposal. If something is likely to delay the work or change what is achievable, we will tell you promptly.

7. What we need from you

  • Timely access to the people, information, systems and data we reasonably need, and prompt decisions and feedback.
  • Information that is accurate and complete. We rely on what you tell us.
  • Confirmation that you have the rights and any permissions needed for us to use the data and materials you give us for the engagement.
  • Your own decisions on whether and how to act on our advice, and on how any AI system is used in your business. You remain responsible for your organisation’s legal and regulatory obligations, including under data protection law.

If a delay or problem is caused by something you have not provided, we are not responsible for it and the timetable will move accordingly.

8. AI systems and third-party providers

  • AI output can be wrong. AI models can produce inaccurate, incomplete or inconsistent results. We design and test with care, but we do not guarantee any particular result, accuracy level, saving or return on investment.
  • Human oversight. We recommend testing, monitoring and human review before any AI system is relied on for decisions that matter. Deciding to put a system into live use is yours.
  • Third-party services. Solutions we recommend or build may use third-party models, platforms and hosting (for example Anthropic, OpenAI or cloud providers). Their own terms, prices, availability and data handling apply and can change. Unless a Proposal says otherwise, accounts and fees with those providers are in your name and at your cost, and we are not responsible for their services.

9. Intellectual property

  • Your deliverables. Once you have paid in full for an engagement, you own the deliverables we create specifically for you under it.
  • Our materials. We keep ownership of our existing tools, code libraries, templates, methods and know-how, and anything we develop that is not specific to you. Where any of these form part of a deliverable, we give you a non-exclusive, perpetual, royalty-free licence to use them for your own business.
  • Third-party software and models remain subject to their own licences.
  • Our website. The website, its content, design and branding belong to us. You may not copy, scrape or republish them without our written permission.

10. Confidentiality

Each of us will keep the other’s confidential information confidential and use it only for the engagement. This does not apply to information that is already public, that the receiving party already had or develops independently, or that must be disclosed by law or a regulator. This obligation continues after the engagement ends.

11. Data protection

Where we process personal data on your behalf in the course of an engagement, we do so as your processor, on your documented instructions, under a data processing agreement that meets Article 28 of the UK GDPR. We will sign one with you before any such processing begins. Personal data we handle for our own purposes, such as website enquiries, is covered by our Privacy Policy.

12. Liability

  • Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited or excluded.
  • Subject to that, we are not liable for any loss of profit, revenue, business, contracts, anticipated savings, goodwill or data, or for any indirect or consequential loss.
  • Subject to that, our total liability arising from or in connection with an engagement, whether in contract, tort (including negligence) or otherwise, is limited to the fees paid and payable for that engagement in the 12 months before the event giving rise to the claim.
  • Information on our website is general information only. We are not liable for decisions taken in reliance on it without an agreed engagement.

13. Ending an engagement

  • Either of us may end an engagement straight away by written notice if the other commits a serious breach and does not put it right within 14 days of being asked to, or becomes insolvent.
  • You may also end an engagement for any reason by giving the notice set out in the Proposal, or 14 days’ written notice if it says nothing. You pay for work done up to the end date and any costs we have committed to that cannot be cancelled.
  • Clauses 5 (for sums due), 9, 10, 11 and 12 continue after an engagement ends.

14. Events outside our control

Neither of us is liable for a delay or failure caused by events beyond our reasonable control, such as the failure of a third-party service, a cyber-attack on a supplier, or a major outage. The affected party will tell the other promptly and do what it reasonably can to limit the effect.

15. Using the website

Your use of the website is also subject to our Acceptable Use Policy. We may change, suspend or withdraw the website at any time. Links to other websites are provided for convenience and we are not responsible for their content.

16. Changes to these terms

We may update these terms by publishing a new version on this page. For an engagement already agreed, the version in force when the Proposal was agreed continues to apply unless we both agree otherwise in writing.

17. General

  • The Proposal and these terms are the whole agreement between us for that engagement and replace any earlier discussions about it.
  • No one other than you and us has any right to enforce these terms under the Contracts (Rights of Third Parties) Act 1999.
  • Neither of us may transfer the contract to someone else without the other’s written consent, except that we may transfer it to a company in our group.
  • If any part of these terms is found unenforceable, the rest remains in force. A delay in enforcing a right does not waive it.

18. Governing law

These terms and any dispute arising from them are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
